klodivo Seller Terms
Effective date: 6 November 2026 · Version: 1.0
1. The parties and the service
- These terms are an agreement between you (the "store") and klodivo – enkeltmandsvirksomhed (a Danish sole proprietorship) v/ Frederik Lilani, Kattebjerg 3, 4700 Næstved, Denmark ("klodivo", "we").
- klodivo provides an online marketplace where your store can list LEGO® items from klodivo's catalog, sell them to buyers worldwide through a shared cart and checkout, and receive payment through Stripe.
- You are the seller. Every sale is a contract between you and the buyer. You are responsible for the items, for describing them honestly, for shipping them on time, and for your obligations to buyers under the law that applies to you (for business stores, consumer law).
- klodivo does not sell items itself, does not run its own store and does not compete with you.
2. Who can open a store
- You must be at least 18, have a klodivo account with a confirmed email address, and be established or resident in a European Union member state. Your items must ship from there. (Stores in Norway, Iceland or Liechtenstein can't sell on klodivo: their sales to EU consumers would fall under EU import VAT rules.)
- One store per account.
- You must complete Stripe's onboarding (identity, and a bank account in your name or your business's name). Stripe may refuse or close your Stripe account under its own rules; you then can't sell on klodivo.
- Business or private. When you open your store you declare whether you sell as a business (trader) or as a private person:
- Sell as a business if you sell regularly or for profit, buy items to resell, or run a registered business. When in doubt, you are probably a trader.
- We show your status to buyers on your store page, on every listing and at checkout. Buyers of private stores are told that consumer law does not apply.
- You must keep the declaration correct and tell us if it changes. You are liable for the consequences of a wrong declaration, including claims from buyers and authorities.
- Business stores must also give us: legal name, address, phone number, email, business registration number (for example CVR) and VAT number if registered. We show the name, address, email and registration number on your store page, as consumer and product safety law require.
- New stores are reviewed. Your store page works straight away, but your listings appear in klodivo search, on item pages and in alerts only after a moderator has approved the store. We aim to review within 2 business days. If we decline, we tell you why.
3. Information we collect for tax reporting (DAC7)
- EU law (Directive (EU) 2021/514, "DAC7", in Denmark the Danish rules on reporting by platform operators) requires klodivo to collect information about its sellers and report sellers' sales to the Danish Tax Agency (Skattestyrelsen), which shares it with the tax authorities of your country.
- We will ask you for:
- individuals: full name, primary address, tax identification number (TIN) and the country that issued it (for Danish residents, the CPR number), VAT number if any, date of birth;
- entities: legal name, primary address, TIN, VAT number, business registration number, and any permanent establishments in the EU;
- everyone: the bank account the payouts go to and the account holder's name (we receive these from Stripe).
- Each year we report the total amount paid to you for each quarter, the number of sales, and the fees we deducted per quarter. Before 31 January each year we send you a copy of what we reported about you for the previous year.
- Stores with fewer than 30 sales and not more than €2,000 in sales in a year are not reported, but we still need the information, because we only know at year end.
- If you don't give us the information after two reminders, we may hold your payouts and, after at least 60 days, close your store and prevent you from opening a new one, as DAC7 requires.
- How we protect this information is described in our Privacy Policy. We use it only for tax reporting, identity checks and to meet other legal obligations.
4. Listing and selling
- You may list only items from klodivo's catalog, described honestly and following our Listing rules: genuine LEGO® only, correct condition and completeness, photos and a note for used sets, no bulk lots, no MOCs, no counterfeit or "compatible" bricks.
- Keep your stock and prices up to date. You must be able to ship everything you list.
- Price rules. Business stores must follow price-marketing law. If you show a price reduction or a "was" price, it must be based on the lowest price you charged in the 30 days before the reduction.
- Product safety (business stores). You must sell only products that are safe and comply with EU product safety law (Regulation (EU) 2023/988, and for toys the Toy Safety Directive 2009/48/EC and, from its application date, Regulation (EU) 2025/2509). You must keep and pass on the manufacturer's warnings, including "Not suitable for children under 36 months" for small parts, and must not sell items that have been recalled. klodivo shows the manufacturer information and the standard LEGO® small-parts warning on listings. Tell us straight away if you learn an item you sold is unsafe.
- Shipping. Ship within the number of business days your store states, and add tracking where your shipping method has it. Your shipping prices must be the real cost to the buyer; you may not add handling, packing or lot fees.
- Cancelling. You may cancel a parcel before shipping (for example if an item is out of stock). The buyer is refunded in full. Repeated cancellations count against your store (section 12).
- Changing the shipping method before shipping is possible; if it costs the buyer more, the buyer chooses to pay or cancel. You can't shorten the delivery window the buyer was promised.
- Messages. Reply to buyers within 2 business days. Keep all communication and payment on klodivo. Asking buyers to pay outside klodivo is not allowed and leads to suspension.
- Returns and withdrawal (business stores). You must honour the consumer's 14-day right of withdrawal and the statutory rights for faulty goods. Buyers can withdraw using klodivo's withdrawal button, which we forward to you; you must give a return address and refund within 14 days through klodivo. Your own return policy, shown in your store's "Shipping & terms" tab, may give buyers more rights but never fewer.
- Buyer data. You receive the buyer's name, delivery address and phone number for the order. You become an independent controller of that data under the GDPR. Use it only to fulfil and support the order and to meet your legal obligations. Don't use it for marketing, don't share it, and delete it when you no longer need it.
- Discount codes you create apply to your items only (never to shipping). They can't be exchanged for money.
5. Fees
- klodivo charges a fee of 2.5% of the item price of each item sold, after any discount code. There is no fee on shipping, and no listing, monthly or setup fee.
- Payment processing: Stripe's processing fee for each payment is passed on to you at cost. When an order contains items from several stores, the fee is split between the stores in proportion to their share of the payment.
- Refunds: no klodivo fee is charged on refunded items. Stripe's fee on a refund is charged to you if the refund is caused by you (for example a cancellation, late shipping or a problem decided against you); if nobody is at fault, klodivo pays it.
- Other charges deducted from your payouts: partial refunds and return postage decided under buyer protection, and lost bank disputes (section 8).
- Each parcel keeps the fee and terms in force when the buyer paid for it.
- Each payout statement lists our fees for every parcel; you can download it under Sell > Payouts. VAT on our fees: see section 9.
- We announce fee changes at least 15 days in advance (section 15).
6. Payouts
- klodivo receives payment as your agent. You authorise klodivo to receive payment from buyers on your behalf for your sales (fuldmagt). A buyer's payment to klodivo settles the buyer's debt to you in full. klodivo receives payment only for you, the seller, never for the buyer. Your share of each payment is moved to your own Stripe balance as soon as the payment succeeds.
- Stripe Connect. Payouts are made through Stripe Connect. By opening a store you accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. klodivo receives information from Stripe about your account status, as needed to pay you.
- When money is released. Your share of a parcel (items and shipping, minus fees and charges) stays in your Stripe balance, without being paid to your bank, until the buyer confirms the parcel arrived or 14 days after the expected delivery date, whichever comes first. It isn't released while a problem report, a hold or a freeze (sections 7–8) applies to it. Stripe allows money to wait for at most 90 days: anything still not released then is paid out, or taken back to klodivo's balance while a hold or freeze applies and paid to you when it ends; a later refund or charge is set off under 6.6. If your Stripe account can't receive a payment, you have 7 days to fix it; after that, a parcel that hasn't shipped is cancelled and refunded, and you pay Stripe's fee for the refund.
- New stores. Until 10 of your orders have been paid out, money is released no earlier than 14 days after the buyer paid.
- Bank payouts. klodivo tells Stripe to pay your released balance to your bank account every Friday. We email you a weekly statement. Your earnings are counted and shown in euros; amounts the buyer paid in other currencies are converted at the rate fixed when the buyer paid. If your bank account is in another currency, Stripe converts your share into that currency when it reaches your Stripe balance, at Stripe's rate that day, and your payouts are made in that currency.
- Set-off and refunds. When a refund, a problem report or a bank dispute is decided against you, or you owe a charge under these terms, klodivo takes the amount back from your Stripe balance. If your balance isn't enough, it's deducted from later payouts, or you pay it within 14 days of our invoice.
7. Rolling reserve
- 10% of your share of each order stays in your Stripe balance as a reserve, to cover refunds and bank disputes that come after a payout. It's paid to your bank 90 days after the buyer paid, minus anything you owe at that time.
- We may set a different reserve for an individual store, from 0% up to 25%, based on objective risk factors (for example the store's age, cancellations, problem reports, bank disputes or verified status). We tell you the change and the reason before it applies to new payouts.
- If your store closes or is suspended, the reserve is still paid out on its normal date, minus anything you owe.
8. Bank disputes (chargebacks), holds and freezes
- Bank disputes. If a buyer disputes a payment with their bank, and the parcel was sent without tracking, the bank takes the money from klodivo, so we take back the amount at stake for that parcel plus Stripe's dispute fee from your Stripe balance when the dispute opens (from the parcel's money, or its reserve; anything missing comes off your next released money) and hold it until the bank decides. If the parcel was sent with tracking, nothing is held and klodivo carries the risk.
- If the bank decides for the buyer on an untracked parcel, the held amount is used to cover the loss and the dispute fee; any shortfall is deducted from later payouts. If the bank decides for you, the held money is paid back to your Stripe balance and paid out with your next payout.
- We answer banks on your behalf using the order's information and any evidence you provide.
- Freeze for 5 open disputes. If 5 or more bank disputes are open against your store at the same time, your store is frozen automatically: your listings are hidden and all payouts are held until every open dispute is decided. We tell you by email and on your payouts page. A klodivo administrator may lift the freeze earlier.
- Administrative hold. We may hold your payouts if we have a reasonable, specific suspicion of fraud, a serious breach of these terms, or if required by law, Stripe or an authority. We tell you the reason, unless the law prevents it.
9. VAT and taxes
- You are responsible for your own taxes: VAT on your sales (including any OSS registration), income tax, and any other duties. Prices shown to consumers must include all VAT you owe.
- You must keep your declared business status, VAT number and country of establishment correct.
- VAT on klodivo's fees: klodivo is not VAT-registered, so our fees are charged without VAT. If that changes, we tell you at least 15 days in advance (section 15).
- You must cooperate with reasonable requests needed for klodivo to meet its own tax obligations.
10. Ranking: how your listings are shown
How listings and stores are ordered in search, on item pages and in the store directory, and what affects it, is described in Ranking and feedback. In short: no one can pay for a better position, and klodivo has no own store that it favours. Verified stores get a badge but no ranking advantage.
11. Feedback, the verified badge and differentiated treatment
- Feedback. Buyers can rate your parcel positive, neutral or negative with a short comment; you can reply once. We remove feedback only if it is illegal or breaks our Content and moderation policy, not because it is negative.
- Verified store badge. Shown when your identity and bank account are verified by Stripe, you have at least 10 completed orders, at least 92% positive feedback over the last 12 months (from at least 5 ratings), no lost problem report in the last 90 days, and a moderator has approved it. The badge is checked nightly and removed automatically if a condition is no longer met.
- Differentiated treatment. Apart from the badge, new-store payout timing (section 6.4) and individual reserves (section 7.2), all stores are treated the same. klodivo does not offer paid placement or fee discounts.
12. Restriction, suspension and termination
- We may restrict your store (for example hide a listing, remove it from search, hold payouts) or suspend it if:
- you break these terms, the Listing rules or the law;
- you sell counterfeit, unsafe, recalled or prohibited items;
- you ask buyers to pay outside klodivo, or we reasonably suspect fraud;
- your cancellations, late shipments, lost problem reports or bank disputes are significantly above normal;
- you don't provide or update the information required by law (sections 2–3);
- Stripe closes or restricts your Stripe account;
- an authority or court orders it.
- Statement of reasons. We tell you, by email, the decision, its scope and duration, the facts and the rule it is based on, whether it was automated, and how to contest it, at the latest when it takes effect, unless the law prevents us.
- Ending the agreement. We may end this agreement for all your store with 30 days' notice with reasons. We may end it immediately only if the law requires it, if you have repeatedly broken these terms, or for a serious breach as allowed by law.
- Contesting a decision. Reply to our email or write to legal@klodivo.com. A person who wasn't involved in the original decision reviews it, and we answer within 10 business days. If we were wrong, we reverse the measure without delay.
- What happens to orders and money when a store is suspended or closed: unpaid orders are cancelled; paid parcels not yet shipped may be cancelled and refunded; your listings are hidden; any gift cards for your store are refunded to their buyers; money already due to you is paid out when it would normally be released, minus what you owe; the reserve is paid out on its normal date.
- You can end the agreement at any time by closing your store (Store profile → Close your store) once you have no open orders.
13. Your data and access to data
- What you can see: your listings, orders (including buyers' names and delivery details for your orders), messages, feedback, payouts and statements, through your dashboard and the Seller API.
- What klodivo uses: sales data from all stores is used to run the marketplace, to fight fraud, and in anonymised form for the public price guide (sold prices from the last 6 months). We don't sell your data and don't share it with third parties except our service providers, Stripe, and authorities where the law requires it.
- After the agreement ends you can still see your past orders and statements for as long as your account exists. You can export your data on request.
14. Your content and licence
- You keep the rights to your listing photos, notes and store texts. You give klodivo a non-exclusive, free, worldwide licence to show, adapt (for example resize) and use them to run and promote the marketplace, including in search engines, price comparison sites and social media.
- You confirm you have the right to everything you upload and that it doesn't infringe anyone's rights.
- The Seller API is covered by the Seller API terms.
15. Changes to these terms
- We announce changes on a durable medium (email) at least 15 days before they take effect, or longer where you need more time for technical or commercial changes. You can end the agreement before the change takes effect.
- Shorter notice applies only where the law or an authority requires it, or to address an unforeseen and imminent danger of fraud, malware, spam, data breaches or other security risks.
- Changes never apply to parcels already paid for.
16. Liability
- Each party is liable for its own breaches under Danish law.
- klodivo is not liable for indirect loss, lost profit or lost data, or for loss caused by Stripe, carriers or events outside our reasonable control.
- Business stores: klodivo's total liability to the store in any 12-month period is limited to the greater of the fees the store paid in that period and EUR 500. Private stores (consumers): no money cap; klodivo is liable under ordinary Danish law for its own errors, but not for indirect loss or lost profit unless caused by intent or gross negligence.
- These limits never apply to paying out the store's own sale proceeds that klodivo collected as its agent: that money is the store's and is always paid out under section 6.
- You indemnify klodivo against claims, fines and costs caused by your items, your listings, a wrong trader declaration, your tax obligations or your breach of the law.
- These limits do not apply to intent, gross negligence, personal injury, or where the law doesn't allow them.
17. Law and disputes
- These terms are governed by Danish law.
- Disputes go to the Danish courts, at the court for klodivo's address. If you are a private store (a consumer), you keep the protection of the mandatory laws of your country and may sue in your own courts.
